Welcome to ezyAuto! These Terms of Service ("Terms") govern your access to and use of the ezyAuto software-as-a-service platform (the "Service"), operated by ezyAuto ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms, our Privacy Policy, and Refund Policy.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Service.

If you are accessing or using the Service on behalf of a business entity (such as an auto workshop or garage), you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. Description of Service

ezyAuto is a comprehensive cloud-based management platform specifically designed for automotive workshops and service centers. Our Service includes but is not limited to:

  • Job card and work order management
  • Customer relationship management (CRM)
  • Vehicle service history tracking
  • Inventory and parts management
  • Invoice generation and billing
  • Employee management and payroll
  • Business analytics and reporting
  • Integration with payment gateways and third-party services

We reserve the right to modify, suspend, or discontinue any aspect of the Service with or without notice, subject to applicable legal requirements.

3. User Accounts and Registration

Account Creation: To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Account Security: You are solely responsible for all activities under your account. You must immediately notify us at support@ezyauto.in of any unauthorized access or security breaches.

Account Verification: We may require verification of your identity or business details before activating certain features or processing payments.

4. Data Ownership and License

Your Data Ownership: You retain complete ownership of all data, content, and information you input into the Service ("Your Data"), including customer records, vehicle information, financial data, and business documents.

License Grant: You grant ezyAuto a limited, non-exclusive, royalty-free license to access, use, store, and process Your Data solely for the purpose of providing the Service, maintaining security, and improving our platform.

Data Responsibility: You are responsible for the accuracy, legality, and appropriate use of Your Data. You warrant that you have all necessary rights and permissions to use Your Data with our Service.

Data Backup: While we maintain regular backups, you are encouraged to maintain your own copies of critical data.

5. Subscription Plans and Payment Terms

Subscription Model: The Service operates on a subscription basis with various pricing tiers. All subscription fees are billed in advance according to your chosen billing cycle (monthly or annual).

Payment Processing: All payments are processed securely through Razorpay, our authorized payment gateway partner. By subscribing, you agree to Razorpay's Terms of Service and Privacy Policy. We comply with RBI guidelines and maintain PCI DSS compliance.

Auto-Renewal: Subscriptions automatically renew unless cancelled before the next billing cycle. You can manage your subscription through your account dashboard.

Price Changes: We may modify subscription prices with 30 days' advance notice. Existing subscribers will be notified via email and in-app notifications.

Taxes: All fees are exclusive of applicable taxes, duties, or similar charges, which you are responsible for paying.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service for any fraudulent, abusive, or harmful activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service's operation or servers
  • Upload malicious code, viruses, or harmful content
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to store or transmit infringing, libelous, or unlawful content
  • Exceed reasonable usage limits or engage in activities that may harm our infrastructure

7. Service Availability and Support

Uptime: We strive to maintain 99.5% service availability, excluding scheduled maintenance and circumstances beyond our control.

Maintenance: We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may occur without prior notice.

Support: Customer support is available via email at support@ezyauto.in during business hours (Monday-Saturday, 9:00 AM - 6:00 PM IST).

8. Account Termination and Suspension

Termination by You: You may terminate your account at any time through account settings or by contacting support. Upon termination, you may export your data for 30 days.

Termination by Us: We may suspend or terminate your account immediately for violations of these Terms, non-payment, or other legitimate business reasons.

Effect of Termination: Upon termination, your access to the Service will cease, and we may delete Your Data after a reasonable notice period, subject to legal requirements.

9. Intellectual Property Rights

The Service, including its software, design, trademarks, and documentation, is owned by ezyAuto and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Your use of the Service is at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZYAUTO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless ezyAuto, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Sangli, Maharashtra, India, and you hereby consent to the personal jurisdiction and venue of such courts.

These Terms comply with the Information Technology Act, 2000, Consumer Protection Act, 2019, and other applicable Indian laws and regulations.

15. Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and in-app notifications at least 30 days before taking effect. Continued use of the Service constitutes acceptance of modified Terms.
